Buddito Terms and Conditions

1.1 These Terms, together with the Buddito Privacy Policy and any other rules or policies we publish, form the complete agreement between you and us regarding the Service.

1.2 These Terms are entered into between MX INNOVATION PTE. LTD. and you, the user of Buddito. By messaging Buddito in iMessage, visiting buddito.com, or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and the Privacy Policy. If you do not agree, please stop using the Service immediately.

2.1 What Buddito is

Buddito is an AI-powered companion-matching service that runs in iMessage. You do not need to download a separate mobile application. You chat with Buddito to describe what kind of activity buddy you are looking for—for example, someone to climb with, study with, practice a language with, or join another social or activity-based pursuit.

Buddito collects information from your conversation to build your profile, suggests other registered Buddito users who may be compatible, and—if you and the other user both agree—introduces you in a one-on-one iMessage group chat.

Buddito is designed to help adults find activity-based companionship and social connection. Buddito is not a dating service, professional advisory service, therapy service, or emergency service.

2.2 How matching works

The matching flow works as follows:

1. Onboarding: You message Buddito in iMessage and share information needed to create your profile and matching preferences.
2. Suggestions: Buddito may show you profile cards of other registered users, which can include information such as display name, city, photo, and other profile fields they have provided (for example, bio, interests, MBTI, zodiac sign, or values).
3. Mutual confirmation: If you wish to connect, you and the other user must each confirm using a verification code in your individual conversations with Buddito. A connection is created only when both users confirm.
4. Group introduction: After mutual confirmation, we create a one-on-one iMessage group chat between you and your match.
5. One-time messages: Buddito may send up to two one-time messages in the group—an icebreaker introduction and a safety reminder—then will not continue to participate or reply in the group. Further communication is between you and your match.

Introduction messages are designed to be de-sensitized and do not include sensitive details such as health conditions or emotional trauma.

2.3 What Buddito does not do

We do not:

• guarantee that you will receive match suggestions or successfully match with another user;
• verify the identity, age, background, criminal history, or intentions of any user beyond the self-reported age gate at onboarding;
• conduct background checks on users;
• monitor, moderate, or participate in private conversations between you and your match after our one-time introduction messages;
• control how Apple iMessage displays contact information (such as phone numbers) to participants in a group chat;
• provide professional, medical, legal, financial, or mental-health advice.

We are not a party to and are not responsible for any communication, relationship, meeting, dispute, or interaction between you and any other user, except to the extent required by applicable law.

2.4 License to use the Service

We grant you a personal, revocable, non-transferable, non-exclusive, and non-commercial right to use the Service. All rights not expressly granted are reserved by us. You may not use the Service in any manner not expressly authorized by these Terms.

2.5 Changes to the Service

We may update, modify, suspend, or discontinue all or part of the Service at any time to improve the user experience or for operational, security, or compliance reasons. Some features may be limited or unavailable as a result. The Service depends on third-party platforms and providers (including Apple iMessage and our messaging infrastructure partners); outages or policy changes by those parties may affect availability.

2.6 Your equipment and costs

You are responsible for your own device, Apple ID, iMessage service, and internet connection, and for any related data or carrier charges incurred in using the Service.

3.1 You may use the Service only if you are at least 18 years old and are legally able to enter into these Terms.

3.2 During onboarding, you will be asked to confirm your age. If you indicate you are under 18, you will not be permitted to register. By using the Service, you represent and warrant that you are at least 18 years old.

3.3 [Child Safety] We are committed to protecting minors. If you find any content or conduct on or through the Service that may involve a minor or may infringe the rights of a minor, please notify us by messaging Buddito in iMessage. We will handle such reports promptly and as required by applicable law.

3.4 [Compliance with local laws] You must comply with the laws of your jurisdiction when using the Service. If your conduct violates applicable laws, you are solely responsible, and we may suspend or terminate your access and cooperate with competent authorities.

4.1 You are responsible for the accuracy of the information you provide to Buddito and for keeping your profile information current. You may update your information by messaging Buddito in iMessage.

4.2 You represent that you provide information lawfully and in good faith for the genuine purpose of seeking activity-based social connection with other adults.

4.3 You are solely responsible for:

• your decisions to accept or decline match suggestions;
• your decisions to communicate with or meet any other user;
• all activity conducted through your iMessage account in connection with the Service; and
• all consequences of your interactions with other users.

4.4 You acknowledge that AI-generated responses from Buddito may be inaccurate, incomplete, or inappropriate in edge cases. Buddito is an automated assistant, not a human operator available at all times. Do not rely on Buddito for emergency, safety-critical, medical, legal, or financial decisions.

4.5 You acknowledge that when you and another user are placed in an iMessage group chat, Apple iMessage may display participants’ contact information (such as phone numbers) to other group members, as governed by Apple’s platform. See our Privacy Policy for more information.

You agree that you will NOT use the Service to do, or attempt to do, any of the following:

• contact, or seek to contact, any person who has asked you not to contact them, or to evade any block, no-contact request, restraining order, or similar restriction;
• harass, stalk, threaten, intimidate, defame, surveil, dox, or otherwise harm any person, including any match;
• seek, target, contact, or attempt to connect with any person under the age of 18, or describe preferences seeking a minor;
• compile, store, or use information about any individual for purposes of surveillance, profiling, discrimination, blackmail, or any other unlawful or harmful purpose;
• impersonate any person or entity, or misrepresent your identity, age, or affiliation;
• use the Service for commercial solicitation, spam, fraud, or to promote or arrange compensated companionship, escort, or sexual services;
• use any information obtained through the Service for any purpose other than your personal, non-commercial pursuit of activity-based social connection;
• share another user’s personal information without their consent (including screenshots, phone numbers, or private messages) except as reasonably necessary for your own safety or as required by law;
• infringe the rights of any third party, including privacy, publicity, and intellectual-property rights;
• violate any applicable law or the terms of service of Apple iMessage or any other third-party platform;
• interfere with, disrupt, or gain unauthorized access to the Service or its systems, or reverse engineer, scrape, or circumvent any technical measure of the Service;
• engage in any other conduct that we reasonably determine to be unlawful, harmful, abusive, or inappropriate.

Child Safety — Prohibited Conduct

Without limiting the above, you must never use the Service in connection with any of the following, all of which are strictly prohibited:

• any inappropriate interaction directed at a child;
• child grooming (befriending a minor to facilitate sexual contact or the exchange of sexual imagery);
• the sexualization of a minor, or content that depicts, encourages, or promotes the sexual exploitation of children;
• sextortion (threatening or blackmailing a minor using intimate imagery);
• the trafficking, advertising, or solicitation of a minor for any purpose.

Enforcement. We may, based on reasonable judgment and without prior notice, suspend or terminate your access, delete your account, and take other appropriate measures if we believe you have violated these Terms or any applicable law. Where conduct may constitute a criminal offense, we reserve the right to report it to and cooperate with competent authorities.

6.1 Buddito may facilitate introductions between users, but you are solely responsible for your safety when communicating with or meeting any person you connect with through the Service.

6.2 We strongly recommend that you:

• meet in public places for initial in-person meetings;
• tell a friend or family member where you are going;
• arrange your own transportation;
• protect your personal information and do not share financial details with people you do not trust;
• trust your instincts and leave any situation that feels unsafe; and
• comply with applicable local laws and venue rules.

6.3 We do not screen, vet, or conduct background checks on users. We do not guarantee the identity, character, intentions, or conduct of any user. We are not responsible for any harm, loss, or damage arising from your interactions with other users, whether online or offline, except to the extent required by applicable law.

7.1 The Service is currently offered free of charge during the MVP phase.

7.2 If we introduce paid features in the future, applicable prices and payment terms will be presented to you before you incur any charge, and payments will be processed through third-party payment providers subject to their own terms. You represent that you are legally able to make any such payment and that your funds are from a lawful source.

8.1 We own all intellectual-property rights in the Service, including its software, technology, branding, and AI-generated content suggestions (except for information you provide and information originating from other users).

8.2 You may not use the “Buddito” name, logo, or any related brand identifier without our prior written consent.

8.3 You retain ownership of the content you provide. You grant us a non-exclusive, worldwide, royalty-free license to use, store, process, reproduce, and display that content as necessary to operate and provide the Service to you, including to facilitate matching and introductions as described in these Terms and the Privacy Policy.

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, and share personal information. By using the Service, you acknowledge that you have read the Privacy Policy.

10.1 THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2 We do not warrant that the Service will be uninterrupted, error-free, secure, or that any match suggestion, AI response, or user-provided information will be accurate or meet your expectations.

10.3 You assume all risk arising from your decision to match with, communicate with, or meet any person through the Service.

11.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS.

11.2 TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) IF THE SERVICE WAS PROVIDED FREE OF CHARGE, ONE HUNDRED U.S. DOLLARS (USD $100) OR THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW.

11.3 Some jurisdictions do not allow certain limitations of liability. In those jurisdictions, our liability is limited to the maximum extent permitted by law.

You agree to indemnify, defend, and hold harmless MX INNOVATION PTE. LTD. and its officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• your use of the Service;
• your violation of these Terms or any applicable law;
• your interactions with any other user; or
• your infringement of the rights of any third party.

13.1 You may stop using the Service at any time.

13.2 You may request account deletion by following the account-deletion flow in your iMessage conversation with Buddito. Deletion includes verification steps and results in hard deletion of your account data as described in the Privacy Policy. If you register again with the same phone number, you will start as a new user.

13.3 We may suspend or terminate your access to the Service at any time if you violate these Terms or applicable law, if we reasonably believe your conduct poses a risk to other users or the Service, or to protect the Service or other persons.

13.4 Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

14.1 These Terms are governed by and construed in accordance with the laws of Singapore, without regard to its conflict-of-laws principles.

14.2 Any dispute arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Arbitration Rules then in force. The seat of arbitration shall be Singapore. The arbitration shall be conducted in the English language. The arbitral award shall be final and binding.

14.3 Nothing in this Section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary. If mandatory consumer-protection laws of your place of residence entitle you to bring proceedings in your local courts, those laws apply to the extent required.

We may revise these Terms from time to time. The “Last Updated” date at the top indicates when the latest changes took effect. For material changes, we will provide notice by reasonable means (for example, via iMessage with a link to the updated Terms). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16.1 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.

16.2 No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

16.3 Entire agreement. These Terms, together with the Privacy Policy and any other published rules, constitute the entire agreement between you and us regarding the Service.

16.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
